TERMS AND CONDITIONS FOR ANONYMOUS ONLINE FORUM
These terms and conditions (“Terms”) govern your use of the anonymous online forum (the “Forum”) operated by NewsPatrol, Inc., doing business as Scioto Valley Guardian (“Company”). By accessing or using the Forum, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Forum.
- User Conduct
The Forum is provided for the exchange of ideas and opinions among users. You may not use the Forum for any unlawful purpose or in a manner that violates the rights of others, including their privacy or intellectual property rights. You are solely responsible for the content you post on the Forum and any consequences that may arise from such content.
You may not use the Forum to:
a. Post content that is illegal, obscene, defamatory, or otherwise offensive; b. Harass, threaten, or intimidate other users; c. Impersonate or misrepresent your affiliation with any person or entity; d. Post or transmit any virus, worm, Trojan horse, or other harmful or disruptive component; e. Engage in any activity that interferes with or disrupts the Forum or the servers and networks connected to the Forum; or f. Violate any applicable laws or regulations.
Company reserves the right to remove or modify any content posted on the Forum, for any reason, without notice to you.
- User Content
By posting content on the Forum, you grant Company a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such content in all formats and distribution channels now known or hereafter devised (including in connection with the Forum and Company’s business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.
You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents and releases that are necessary to grant to Company the rights in such User Content, as contemplated under these Terms; and (ii) neither the User Content, nor your submission, uploading, publishing or otherwise making available of such User Content, nor Company’s use of the User Content as permitted herein will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
- Disclaimer of Warranties and Limitation of Liability
The Forum is provided “as is” and “as available” without any warranty of any kind, express or implied. Company does not warrant that the Forum will be error-free, uninterrupted, secure, or free from viruses or other harmful components. Company is not responsible for the accuracy, completeness, or reliability of any information posted on the Forum.
To the maximum extent permitted by law, Company disclaims all liability for any damages or losses of any kind, whether direct, indirect, incidental, special, consequential or punitive, arising out of or in connection with your use of the Forum, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses, even if Company has been advised of the possibility of such
damages.
- Indemnification
You agree to defend, indemnify, and hold harmless Company, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Forum; (ii) your violation of any of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Forum.
- Jurisdiction and Venue
These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Forum shall be adjudicated in the federal or state courts located in the District of Columbia.
- Miscellaneous
These Terms constitute the entire agreement between you and Company with respect to the Forum and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Company.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
Company’s failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Company may assign or transfer these Terms, in whole or in part, without restriction.
- Disclaimer of Liability
By using the Forum, you acknowledge that Company has no liability whatsoever for any content or comments posted on the Forum by users, including defamatory, offensive, or otherwise objectionable material. You assume all risks associated with your use of the Forum and any information you obtain from the Forum.
By using the Forum, you acknowledge that any reliance on any information posted on the Forum is at your own risk, and you agree that Company will not be liable for any damages or losses resulting from your reliance on such information.
If you do not agree with any of these Terms, your sole and exclusive remedy is to discontinue using the Forum.
